1. Who we are

LogicBridge LLC is a software company that provides services such as iOS passkey implementation and website creation.

2. Use of the Services

You may use our Services only in compliance with these Terms and all applicable laws. You are responsible for any content you provide to us and for ensuring that you have the necessary rights to share that content.

3. Proposals, statements of work, and payment

Specific project terms, including scope, deliverables, timelines, and fees, are defined in written proposals or statements of work ("SOWs"). In the event of any conflict between these Terms and an SOW signed by both parties, the SOW will control for that project.

Unless otherwise stated in an applicable SOW, all fees are invoiced upfront, become payable immediately, and are non-refundable. Subscriptions may be cancelled at any time to stop future billing periods, but amounts already paid (including setup work, drafts, or in-progress deliverables) will not be refunded. Because services start as soon as you engage LogicBridge, you acknowledge that any statutory right of withdrawal does not apply once work has begun.

4. Intellectual property

Unless agreed otherwise in writing, LogicBridge retains ownership of its pre-existing intellectual property, tools, and know-how. Subject to full payment of applicable fees, you receive a license or ownership rights to project deliverables as described in the relevant SOW.

5. Confidentiality

Both parties agree to use any confidential information of the other party solely for the purpose of performing under these Terms and to protect such information from unauthorized use or disclosure.

6. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, LogicBridge disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of liability

To the maximum extent permitted by law, LogicBridge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services. Our total liability for any claim arising out of or relating to the Services is limited to the amounts you paid to us for the Services giving rise to the claim in the twelve (12) months preceding the event.

8. Termination

Either party may terminate the provision of Services if the other party materially breaches these Terms and fails to cure such breach within a reasonable period after receiving written notice.

9. Governing law

These Terms are governed by the laws applicable to LogicBridge LLC's place of formation, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of that jurisdiction, unless the parties agree otherwise in writing.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
